On August 7, 2012, the companies announced the definitive merger agreement under which U.S. Home Systems would be acquired by Home Depot, in a transaction valued at approximately $93.4 million. Under the terms of the agreement, U.S. Home Systems stockholders will receive $12.50 in cash for each share of U.S. Home Systems/USHS common stock held. According to Thompson/First Call, analysts have set price targets as high as $14.50 per share for U.S. Home Systems’ stock. The firm’s investigation seeks to determine whether U.S. Home Systems and its Board undertook a fair process in negotiating the deal.
