The proposed transaction is valued at approximately $93.4 million.
The investigation centers on whether U.S. Home Systems shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues U.S. Home Systems stock, and whether U.S. Home Systems’ board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. Notably, as recently as March 1, 2012, shares of U.S. Home Systems traded for $14.75. “Due to these factors, we believe that the transaction may undervalue U.S. Home Systems stock.
