Management Board of Pfleiderer Grajewo S.A. reports that on 27 December 2013 Pfleiderer Grajewo S.A. acquired 200,000 newly issued shares in increased share capital of Pfleiderer MDF Sp. z o.o. with its seat in Grajewo, each share of nominal value amounting to PLN 500. The above shares were issued pursuant to a resolution of extraordinary meeting of shareholders of Pfleiderer MDF Sp. z o.o. dated 27 December 2013 on the increase of share capital of the company by an amount of PLN 100,000,000. Pfleiderer Grajewo S.A. acquired the above specified shares in exchange for cash contribution amounting to PLN 100,000,000. Acquisition of the above described shares was financed from the own funds of Pfleiderer Grajewo S.A. As of the date of acquisition of the above specified shares Pfleiderer Grajewo S.A. holds 50% of the shares in share capital of Pfleiderer MDF Sp. z o.o. Criterion for recognizing the acquired shares as the assets of significant value is a value of equity of Pfleiderer Grajewo S.A. The report was prepared pursuant to § 5 section 1 subsection 3 of the Regulation of the Polish Council of Ministers on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated February 19th 2009 (Dz. U. No. 33, item 259).
