Masonite Announces Changes to its Board of Directors

Tampa, FL – Masonite International Corporation (the “Company”) today announced that Kenneth W. Freeman has elected to retire from the Company's Board of Directors effective July 2, 2013. Mr. Freeman has served on the Company’s Board since 2005 and previously served as the Chairman of the Board and the CEO of the Company. He currently serves as Allen Questrom Professor and Dean of Boston University School of Management and as a Senior Adviser to Kohlberg Kravis & Roberts & Co.

"Ken’s outstanding leadership, passion for the business and many years of service on the Board have been invaluable," said Robert J. Byrne, Chairman of the Board, "His management experience, sage advice, and diplomatic skills enhanced the quality of our Board deliberations and his presence in the Board room will be missed."

Speaking about his departure, Mr. Freeman stated, "It has been a privilege to serve on the Board of Directors of Masonite. The dedication of the Masonite team to delivering innovative products and service to create greater value for customers throughout the world is evident from its strategic initiatives as well as its daily operating behaviors. I am proud of what we have accomplished together and I am confident in the Company’s future."

The Company wishes to thank Mr. Freeman for his years of service and the pivotal role he played in the development of Masonite over the years.

The Company also announced that Peter R. Dachowski has been appointed to replace Mr. Freeman effective immediately. Mr. Dachowski spent 35 years in numerous roles with CertainTeed Corporation, a manufacturer of exterior residential and building envelope construction products, and its parent company, Saint-Gobain, most recently serving as CertainTeed’s Chairman and Chief Executive Officer. Mr. Dachowski is currently a Senior Advisor to Graham Partners, a middle-market private equity firm.
