Eagan, Minnesota, Norcraft Companies, Inc. (“we,” the “Company” or “Norcraft”), a leading manufacturer of kitchen and bathroom cabinetry in the United States and Canada, announced today the upsizing and pricing of its initial public offering. The size of the offering has been increased from the previously announced 5,882,353 shares of common stock to 6,397,073 shares of common stock at a price of $16.00 per share.

The Company has granted the underwriters a 30-day option to purchase up to an additional 959,561 shares from the Company. The Company's common stock will begin trading on November 7, 2013 on the New York Stock Exchange under the symbol "NCFT." The offering is expected to close on November 12, 2013, subject to market and other conditions.

The net proceeds of the offering are estimated to be approximately $92.2 million after deducting underwriting discounts and commissions and estimated offering expenses, prior to any exercise of the underwriters' option to purchase additional shares. The Company intends to use the net proceeds from the offering to repay indebtedness and to fund certain formation transaction costs.
