Ainsworth Announces Meeting Regarding Acquisition by L-P

VANCOUVER, BRITISH COLUMBIA - Ainsworth Lumber Co. Ltd. today announced that the Supreme Court of British Columbia has issued an interim order authorizing, among other things, the holding of a special meeting of the holders of common shares of Ainsworth, at which the Shareholders will be asked to approve the previously announced proposed plan of arrangement involving the acquisition by Louisiana-Pacific Corp. of all of the outstanding Ainsworth shares.

The special meeting is scheduled to be held at the Four Seasons Hotel, 791 West Georgia Street, Vancouver, British Columbia at 10:00 a.m. (Vancouver time) on Oct. 29, 2013. The record date for determining the Shareholders entitled to receive notice of and vote at the special meeting is Sept. 24, 2013. The Company's information circular being prepared in connection with the special meeting will include a summary of the arrangement agreement between Ainsworth and LP, dated Sept. 4, 2013 and additional details concerning the Transaction. The Company expects to begin mailing the information circular, form of proxy and letter of transmittal and election form to the Shareholders on or about Sept. 30, 2013, at which time the documents will also be made available under Ainsworth's profile on the SEDAR website at www.sedar.com.

If the Transaction is approved by the Shareholders at the special meeting, the Company will attend a hearing before the Court scheduled for Oct. 31, 2013 to ask the Court to grant a final order in respect of the Transaction. Subject to obtaining the Shareholder, Court, and other approvals and clearances and satisfaction or waiver of all other conditions precedent to the Transaction, it is anticipated that the Transaction will be completed by the end of 2013.
